The terms of the site and the service.

1. The website

The website describes KMBRLY. Its screens show a demonstration hotel whose people and figures are invented; nothing on it is a binding offer.

You may use the website lawfully and for its purpose. You may not try to gain access you have not been given, overload the servers, copy its content systematically by automated means, or enter real personal data into the public demo.

2. The service and the contract

KMBRLY is web software provided as a subscription. A contract with a hotel is concluded when the hotel accepts an offer or an order that sets out the price, the duration and what is included. These terms apply to that contract; where the contract says something different, the contract prevails.

3. The beta

While KMBRLY is in beta, features may change, be added or be removed, and errors may occur. The service is provided as it is, without guarantees of availability, unless a written agreement says otherwise. Feedback is welcome; we may use it to improve the product without any obligation to the person who gave it.

4. Accounts

The customer designates who administers its account. Sign-in credentials are personal and must be kept confidential; the customer tells us without delay about any misuse it discovers, and is responsible for the people it invites.

5. The customer’s obligations as controller

The hotel decides what KMBRLY records about its staff and is the controller of that data. Before use, it is responsible for:

• informing its staff with its own privacy notice;
• meeting the obligations of art. 4 of Law 300/1970 (the Statuto dei Lavoratori) and any other labour rule that applies;
• entering only accurate data that it is entitled to process;
• using the Kindex and the other figures as the rules of use state: never as the only basis for a disciplinary measure, a sanction or a shift assignment. A person always decides about a person.

6. The customer’s data

The data a hotel enters remains the hotel’s. We process it only to provide the service, as the data processing agreement under art. 28 GDPR provides; that agreement is part of the contract.

7. Intellectual property

The software, the KMBRLY name and logo, the texts and the design belong to us or to our licensors. For the duration of the contract, the customer receives a non-exclusive, non-transferable right to use the service. It may not copy, modify or reverse-engineer the software, except where the law allows it.

8. Availability and support

We do our best to keep the service available and to announce planned maintenance. We do not guarantee that it will be uninterrupted or free of errors.

9. Liability

To the extent the law allows, we are not liable for indirect damage, lost profit or data lost because of a use that does not follow these terms. In any case our liability is limited to the amount the customer paid in the twelve months before the event. These limits do not apply in cases of wilful misconduct or gross negligence (art. 1229 of the Civil Code), nor to injury to persons.

We try to keep the information on the website accurate and current, but do not guarantee it.

10. Suspension and termination

We may suspend an account for security reasons or for a serious breach of these terms, and tell the customer why. The duration of the contract and how to end it are set by the contract; what happens to the data when it ends is set by the data processing agreement.

11. Changes to these terms

We may update these terms. We publish every version on this page with its date; for customers with a contract in force, we announce material changes at least 30 days in advance.

12. Law and jurisdiction

These terms are governed by Italian law. The Court of Milan has exclusive jurisdiction over any dispute.
